What conditions apply when using Tooele Transit services?

These Terms and Conditions apply to the supply of content and information services by Tooele Transit (we”, “us”) to business customers only (“you”). By ordering or using our services, you confirm that you are acting in the course of business and agree to these Terms.

1. Services

We provide digital and information services including data, reports, online content, subscriptions, and consultancy delivered in person and/or electronically. Details are set out in our quotation.

2. Contract Formation

An order constitutes an offer to purchase. A binding contract is formed when we confirm your order or begin to provide the services.

3. Prices and Payment

All prices are in pounds sterling (£) and exclusive of VAT unless stated otherwise. Payment is due in advance unless agreed in writing. We reserve the right to charge statutory interest and recovery costs on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.

4. Recurring Billing and Subscriptions

Where services are provided on a subscription or recurring basis, you will make or authorise us to take recurring payments at the agreed intervals. Subscriptions continue for the agreed term and will automatically renew unless cancelled in accordance with the notice period stated at the time of purchase. Fees are non-refundable once a billing period has commenced.

5. Delivery of Digital Content

Digital content is supplied electronically. You are responsible for ensuring your systems are compatible with the services provided.

6. Intellectual Property

All intellectual property rights in the digital content and services remain with us or our licensors. You are granted a non-exclusive, non-transferable licence to use the content for your internal business purposes only, unless otherwise agreed in writing.

7. Liability

To the fullest extent permitted by law, we exclude liability for indirect, consequential, or economic loss, including loss of profits or data. Our total liability shall not exceed the fees paid by you in the preceding 12 months. Nothing excludes liability for death or personal injury caused by negligence or fraud.

8. Data Protection

We process personal data in accordance with UK GDPR and our Privacy Statement.

9. Termination

We may suspend or terminate access to the services if you breach these Terms or fail to pay sums due.

10. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control.

11. Governing Law and address to serve documents.

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.  Our address is 15 Slade Close, South Normanton DE55 3AL.
